BYLAWS
OF
MADISON MINYAN

General

  1. Purposes of Organization

    The purpose of Madison Minyan is to provide Jewish young adults from a wide range of backgrounds with an opportunity to engage in religious, cultural, social, and educational Jewish events.

  2. Solicitation and Receipt of Gifts

    The Organization shall seek gifts, contributions, donations and bequests (herein generally called "gifts") for its purposes, including but not limited to food, eating utensils, and renting space for services.

Members

  1. Events

    Membership shall not be required to attend any Madison Minyan events.

  2. Obtaining Membership

    Membership shall automatically be granted to any Jewish adults meeting the eligibility requirements.

  3. Eligibility

    Any Jewish adult currently living in the Madison Metropolitan Area who has attended three Madison Minyan events in the past twelve months, at least one of which occurred in the past six months, shall be eligible for Membership.

Core Committee

  1. Composition

    The Core Committee shall be comprised of current Members-volunteers in the positions enumerated below.

    1. The Core Committee shall be comprised of the following positions: Facilitator, Secretary, Treasurer, Volunteer Coordinator, Gabbai (Religious Coordinator), Communications Coordinator, and Food Coordinator.

    2. The Facilitator shall not concurrently hold the position of Gabbai or Treasurer.

    3. The Core Committee must contain at least four individuals.

  2. Duties

    Membership shall automatically be granted to any Jewish adults meeting the eligibility requirements.

    1. The Core Committee shall be responsible for day-to-day operations and the financial stability of the group.

    2. If any Member contests whether a decision should fall under the purview of the Core Committee, that decision must be discussed at the subsequent Planning Meeting.

  3. Terms

    There shall be no set term limits for the Core Committee.

  4. Removal

    A member of the Core Committee may be removed by a standard vote of the Membership as described in Article 5 Section 6.

  5. Resignation

    Any member of the Core Committee may resign his or her position at any time by submitting written notification to the Core Committee members. Electronic notice (including but not limited to email) is sufficient written notification for this purpose.

  6. Eligibility

    Service on the Core Committee shall be restricted to Member who have attended at least one Friday night event and one planning meeting in the previous six months.

  7. Vacancy

    In the event of a vacancy on the Core Committee, eligible members will be notified and invited to apply to fill that position.

  8. Meetings

    The Core Committee shall organize and attend Planning Meetings as described.

Planning Meeting

  1. Purpose

    The Purpose of Planning Meetings shall be for the Core Committee to evaluate past events, plan future events, keep members up-to-date, and make decisions related to day-to-day operation and financial stability of Madison Minyan.

  2. Scheduling

    Planning Meetings shall be called and scheduled by the Core Committee. They shall be held once a month, barring special circumstances (for example, high frequency of Jewish Holidays during a certain month).

  3. Notice

    Planning Meetings shall be announced through all primary Madison Minyan communication media at least one week prior to the meeting date. The notice shall include the date of, time of, and location of the meeting, along with contact information for the meeting host.

  4. Procedure

    Except where otherwise noted in these bylaws, the Facilitator shall establish the rules of order to be used in the conduct of Planning Meetings.

    1. Such rules must ensure the minority opinion is heard.

Special Meetings

  1. Purpose

    The purpose of Special Meetings shall be to vote to elect a member to a Core Committee position, to vote to remove a Core Committee member from position, to amend religious practices, and/or to amend the bylaws.

  2. Scheduling

    A Special Meeting can be called and scheduled either by the Core Committee or any three Members.

  3. Notice

    Special meetings shall be announced through all primary Madison Minyan communication media at least two weeks prior to the meeting date.

    1. The notice shall include the date of, time of, and location of the meeting, along with contact information for the meeting host.

  4. Participation

    All current Members as described in Article 2 shall be invited to participate in Special Meetings.

  5. Procedure

    Except where otherwise noted in these bylaws, the Facilitator shall establish the rules of order to be used in the conduct of Special Meetings.

    1. Such rules must ensure the minority opinion is heard.

  6. Voting
    1. Each member shall be entitled to one vote for each voting measure put forth at the Special Meeting.

    2. A quorum of seven must be present at a Special Meeting for voting to occur.

    3. Absentee voting shall be permitted.

      1. The Facilitator is responsible for making reasonable arrangements to accommodate absentee voters. Arrangements that compromise the anonymity of the voter are acceptable.

      2. Absent members will email the Facilitator his/her vote within 24 hours prior to the meeting. If a member is unable to do this, reasonable arrangements must be made.

    4. Voting shall be by anonymous written ballot.

    5. A majority of votes are required to elect a member to fill a vacant position.

    6. All other measures will pass with 2/3 of all the votes including absentee ballots submitted prior to the meeting.

  7. Frequency

    A minimum of one Special Meeting must occur every three months. A maximum of one Special Meeting per month may occur unless there is a vacancy on the Core Committee.

Amendment to Bylaws

  1. Procedure

    In order to amend this document a Special Meeting must be called in accordance with Article 5.

Dissolution and Liquidation

  1. Permitted Distributions

    In the event of Madison Minyan dissolving all assets shall be given over to Madison the Jewish Federation of Madison.
